Terms of Service

Effective date: 3 August 2026

These Terms of Service ("Terms") govern your access to and use of the Ashworth Partners website, the "Book a Consultation" form, and the client portal (together, the "Services"). By submitting a consultation inquiry, signing in to the client portal, or otherwise using the Services, you agree to these Terms on behalf of yourself and the company you represent. If you do not agree, please do not use the Services.

Ashworth Partners registered address: [to be added]. These Terms should be read together with our Privacy Policy.

1. Our services

Ashworth Partners provides PVoC (Pre-Export Verification of Conformity) and product registration advisory services to importers bringing chemical and industrial products into Kenya. Depending on your product, this can include: assessing which KEBS registration route applies (Route A, B, or C); preparing and reviewing your compliance document checklist; submitting your application and supporting documents to the Kenya Bureau of Standards ("KEBS") and its appointed conformity assessment bodies; and managing renewals ahead of expiry.

2. Consultation inquiries

Submitting a consultation inquiry through our website does not create a client relationship, an engagement, or any obligation on either side — it's a request for us to get in touch. A client relationship begins once we set up your portal access or otherwise confirm we're taking on your engagement.

3. Portal accounts

Client portal accounts are created by us once we've agreed to work together — there is no public self-registration. You are responsible for keeping your login credentials confidential and for all activity that happens under your account. Contact us immediately if you believe your account has been compromised. You must give us accurate, current information about your designated contact person(s) and tell us promptly if that information changes.

4. Advisory nature of our services — no guaranteed outcome

We are an independent advisory firm. We are not KEBS, we are not a government body, and we do not control or guarantee the decisions of KEBS or any conformity assessment body it appoints. Route recommendations, fee estimates, and timelines we give you reflect our professional assessment based on the information and documents you provide, and current KEBS rules as we understand them — they are not a promise that your application will be approved, approved on a particular route, or approved within a particular time. KEBS requirements and fees can change, and KEBS retains full discretion over your application.

5. Your responsibilities

You agree to:

  • provide accurate, complete, and genuine information and documents — including your KRA PIN, business registration, and product/shipment details — and tell us promptly if anything changes;
  • never submit forged, falsified, or misleading documents through the portal, or misrepresent your company, your product, or your brand-owner status;
  • use the portal only for its intended purpose, and not attempt to access another client's data, probe or bypass its security, or upload malicious files; and
  • comply with all applicable Kenyan laws in your own import and business activity.

We rely on the accuracy of what you give us. We are not responsible for delays, rejections, or other consequences that result from inaccurate, incomplete, or fraudulent information or documents you provide.

6. Fees and payment

Fees depend on the registration route your product qualifies for and, for some routes, your estimated shipment value — your advisor will confirm the applicable fee before it's due. Fees can be paid through the portal by card (processed by Stripe) or M-Pesa (processed via Safaricom's Daraja platform). A fee is only confirmed as paid once the payment provider confirms it; if a payment fails or is cancelled, you can retry it from the same payment record in the portal.

Our advisory fee is separate from, and does not include, any statutory fee, levy, or charge that KEBS or a conformity assessment body may charge directly for the registration itself, unless we've told you otherwise for a specific engagement.

7. Refunds and cancellations

Because our fees generally correspond to advisory work performed and, in many cases, a submission made to KEBS on your behalf, fees are generally non-refundable once the corresponding work has started or the submission has been made. If you believe a fee was charged in error, or your application is cancelled before any work has begun, contact us and we will review it — refunds, where we agree to issue one, are returned to the original payment method.

8. Renewals

Where your registration has an expiry date, you can request a renewal through the portal ahead of that date. Requesting a renewal does not guarantee it will be approved or approved on the same terms as your original registration — the same advisory-nature terms in Section 4 apply.

9. Confidentiality

We treat the business, product, and financial information you share with us as confidential, and handle personal data as described in our Privacy Policy. In turn, please don't share our proprietary methodology, internal correspondence, or non-public materials we provide you with, other than as needed for your own registration and compliance purposes.

10. Intellectual property

The Ashworth Partners name, website, and portal — including its design, text, and underlying software — belong to us or our licensors. These Terms don't grant you any right to use our branding or content beyond what's needed to use the Services normally.

11. Suspension and termination

We may suspend or terminate your portal access if you breach these Terms — in particular, if you submit fraudulent documents, misuse the portal, or don't pay a fee that's due. You may stop using the Services at any time; this does not entitle you to a refund of fees already earned for work performed, per Section 7.

12. Limitation of liability

To the fullest extent permitted by Kenyan law, Ashworth Partners will not be liable for indirect, incidental, or consequential losses (including lost profits or lost shipments) arising from your use of the Services. Our total liability for any claim arising from the Services is limited to the advisory fees you paid us for the specific engagement giving rise to the claim in the twelve months before the claim arose. Nothing in these Terms limits liability that cannot lawfully be limited, including liability for fraud or for death or personal injury caused by our negligence.

13. Indemnification

You agree to indemnify and hold us harmless from any claim, loss, or expense arising from information or documents you provide that are inaccurate, misleading, or fraudulent, or from your breach of these Terms.

14. Governing law and disputes

These Terms are governed by the laws of Kenya. Any dispute arising from these Terms or the Services will be subject to the exclusive jurisdiction of the courts of Kenya, unless we agree in writing to resolve it another way.

15. Changes to these Terms

We may update these Terms from time to time. We will update the effective date above when we do, and, for material changes, we will make reasonable efforts to notify active clients directly. Continuing to use the Services after a change takes effect means you accept the updated Terms.
